What a contract regulates and what lies beyond it
A services contract identifies who designs, supervises, supplies, installs or commissions a solution. It can specify preventive deliverables, resources, meetings and consequences of non-performance. However, a commercial allocation does not by itself determine who is an employer, the undertaking controlling a workplace or a duty holder under safety legislation. These positions must be assessed against actual activities and control.
Three questions should remain distinct: duties to protect people, financial allocation between contracting parties, and potential liability towards workers, third parties or authorities. Under Spanish law, limits on contractual freedom and the employer’s protective duty prevent a private indemnity from becoming a general exemption. Equally, an incident does not automatically establish a breach by every participating company. Each relevant duty and the conduct connected with it must be identified.
Governing law and competent courts are separate choices
A governing-law clause identifies the law for contractual questions within its scope; a jurisdiction clause identifies agreed courts within legal limits. Choosing a country’s courts does not, without more, choose its law. Both clauses need review, including their scope and consistency with documents incorporated into the agreement. Standard purchasing conditions and engineering annexes can otherwise point in different directions.
Where Rome I applies, party choice remains subject to its limits and relevant overriding mandatory provisions. Without a choice, services have a connecting rule, with qualifications for mixed contracts and more closely connected circumstances. Brussels I bis governs certain civil and commercial disputes. It does not turn a commercial clause into a means of excluding public inspection or the protective jurisdiction rules applicable to employment disputes.
The commercial agreement and the employment contract
The law selected between a client and an engineering company does not automatically govern their employees’ contracts. Article 8 of Rome I preserves the non-derogable employment protection that would apply without that choice. Temporary work abroad does not, by itself, change the habitual country of work for that rule. The actual circumstances must be documented, rather than inferred only from the assignment’s title.
For postings to Spain within Law 45/1999, the Spanish conditions listed by that law must be respected, including occupational prevention. For Spanish companies posting to the European Union or European Economic Area, its first additional provision refers to destination-country conditions within the relevant framework. Outside that scope, the particular country’s regime needs verification. There is no single international preventive licence that settles every project or worker’s situation.
Define a technical scope that supports prevention
A useful scope distinguishes conceptual design, detailed design, review, project management, remote assistance and attendance during testing. It specifies the information supplied by the client, assumptions validated by the designer and deliverables reviewed before manufacture or execution. Expressions such as general supervision need detail: frequency of attendance, authority to request corrections and matters excluded from the engagement.
For Spanish construction projects within Royal Decree 1627/1997, designers must consider prevention in technical, organisational and scheduling decisions. Procurement should provide the time and information needed. As a management practice, residual risks, maintenance access and intervention conditions should be documented. Receipt of a drawing or approval of a payment milestone does not demonstrate that every relevant issue was checked or automatically release its author from their duties.
Allocate functions without confusing legal roles
A responsibility matrix can identify who prepares a measure, authorises it, implements it and receives the information. It needs resources and substitutes: a name in a table does not guarantee availability during a night shutdown. The engineering team’s authority limits and escalation route for unresolved risks should also be documented. Each critical interface needs an available decision maker, not merely a contact address.
In Spain, the undertaking controlling the workplace and the principal undertaking have different definitions under Royal Decree 171/2004. Principal status requires examining own business activity and own workplace; paying the invoice is insufficient. Construction adds sector-specific roles and required appointments. Appointing a coordinator does not remove the developer’s responsibilities or contractors’ duties to their employees. English contract labels must be mapped to these actual functions.
Coordinate simultaneous work and contractors
Coordination must address interference: a pressure test, lifting operation or electrical intervention can affect people outside the contract that originated the task. The safety annex should specify who shares the programme, reports introduced risks and resolves incompatible activities before work is authorised. Subcontractors and short-stay personnel also need inclusion. Coordination arrangements should remain usable when the programme changes during an active shift.
Royal Decree 171/2004 requires cooperation between undertakings sharing a workplace even without a contractual relationship between them. Information is exchanged before work starts and following relevant changes or emergencies; specified risks require written information. Uploading documents to a platform does not prove that responsible people understood an interface risk. Field verification should establish whether agreed measures are workable and known to the people exposed.

Prepare the posting and site induction
Before mobilising a team, review destination, duration, actual activities, participating companies and applicable administrative obligations. Posting notifications and their exceptions must be checked against the law. A short stay does not justify assuming that preventive protection disappears. Immigration and social-security coverage checks follow their own procedures and should not be confused with permission to enter an industrial site.
The contract should allocate the cost and availability of training, understandable information, suitable equipment and emergency support. Induction must check practical understanding, including language and shift changes. For Spain, fitness conclusions and preventive requirements are not a worker’s clinical history: occupational health surveillance retains the safeguards in Article 22 of the LPRL. A client does not obtain general access to diagnoses merely by requiring contractual documentation.
Scope changes, deadlines and stopping unsafe work
Changes can introduce risks absent from the initial engagement: night work, an additional operating area, substituted materials or earlier commissioning. The procedure should require assessment of consequences, review of interfaces and communication to those performing the work before the changed activity begins. It should identify who can approve additional resources and time, preventing an informal commercial instruction from becoming an unsafe operational direction.
It is advisable to agree how disagreements will be recorded and resolved while preserving necessary immediate protective action. In Spain, rights and duties concerning serious and imminent danger under Article 21 cannot depend on commercial approval from the client. Arguments over delay, invoicing or liability follow a separate process. Restarting requires verification of safe conditions and communication of the measures adopted, rather than simply issuing another purchase order.
Indemnities, financial limits and insurance
An indemnity clause can organise claims between companies, but its validity and scope depend on applicable law and circumstances. It should not be described as immunity against authorities or injured people who are not parties to the contract. Where the Spanish Civil Code applies, liability for intentional wrongdoing has an express restriction on waiver, and contractual clauses cannot override the law.
The policy must be checked against activities, territories, insured parties, coverage period, limits, deductibles and exclusions. Professional liability, employers’ liability and travel assistance are not interchangeable coverages. An insurance certificate does not prove that a particular loss is covered. Where the Spanish Insurance Contract Act applies, civil liability is insured within legal and contractual limits. Any mismatch should be addressed before the assignment begins.
Evidence, handover and records
Records should make it possible to establish the version used, missing information, the decision maker and how changes were communicated. Useful evidence includes coordination minutes, design reviews, field checks and traceable corrective actions. Signatures cannot replace substance: a record dated after the work must honestly distinguish when the activity took place from when it was documented. Reconstructing events must not become backdating an approval.
Agree working languages, how translation discrepancies will be resolved and each company’s access to evidence it needs. Medical records remain separate under the applicable regime. At completion, the client receives agreed deliverables and limitations, while operations personnel understand outstanding conditions. Commercial closeout does not erase defects or turn documentary acceptance into a guarantee that no risks remain. Relevant follow-up responsibilities should therefore be clear at handover.
Hypothetical example: international commissioning
An engineering company from another European Union state posts personnel to commission a production line in Spain. The client proposes testing while another contractor installs nearby protective equipment. The contract assigned site safety to the client but did not define who would coordinate the overlapping tasks or verify that protection was available before testing. The unresolved interface affects more than one employer’s workforce.
An organised response identifies legal roles, exchanges risk information, separates incompatible activities and verifies testing conditions. The engineering company retains its duties towards its employees; the client addresses the duties attached to its own position. Posting arrangements, induction and emergency resources are reviewed. The change is documented with responsible people and restart conditions. This illustrative scenario establishes neither a particular judicial liability nor an observed reduction in accidents.
Indicators and application to OSH management
Suggested internal indicators include the share of mobilisations with completed prior reviews, critical interfaces without an owner, changes implemented before risk review and overdue preventive actions during testing. Define denominators, criticality and reporting periods: accepted-document counts alone can hide unsafe work. Incidents should be interpreted alongside exposure, reporting and findings, avoiding incentives to remain silent. These are management proposals rather than statutory universal performance thresholds.
On a project using Sabentis, contractual and preventive records can be organised according to available, configured functions, with appropriate owners and access. The tool supports traceability; it does not automatically decide applicable law or validate every clause. Joint review by prevention specialists, operations and legal advisers should resolve material discrepancies before mobilisation or changed work. Frequently asked questions
Does choosing one country’s law settle all project safety obligations?
No. The law governing the commercial agreement, employment and mandatory workplace requirements may follow different connecting rules. They must be analysed within the applicable international framework.
Can a contract make the client responsible for all OSH?
It can allocate tasks and costs, but cannot remove legal duties another company has as an employer, contractor or holder of a particular role. Actual liability depends on duties, circumstances and applicable law.
Is a short technical visit exempt from prevention requirements?
There is no general exemption of that kind. Classify the actual activity, check the posting regime and apply measures needed for the visit’s risks, even if an administrative notification has an exception.
Does international insurance cover every accident?
No. Policy conditions, activities, territories, insured parties, limits and exclusions must be checked. A commercial insurance certificate is not a substitute for that assessment.
